Beside The Influence provides coaching, education, accountability, resources, and support.

Our services are not intended to replace professional medical, psychological, psychiatric, addiction-treatment, legal, financial, or other licensed professional services.

Unless expressly stated otherwise, Beside The Influence and its coaches, employees, contractors, facilitators, representatives, and community members are not acting as your:

• Psychiatrist
• Psychologist
• Therapist
• Licensed addiction counselor
• Medical provider
• Emergency service provider
• Attorney
• Financial advisor

Information provided through our Website, coaching programs, community, videos, educational materials, live calls, or other services is provided for general educational and informational purposes.

Nothing provided by Beside The Influence should be interpreted as a diagnosis, treatment recommendation, medical instruction, or substitute for care from a qualified licensed professional.

Your participation in Beside The Influence is voluntary.

You acknowledge that:

Participation in these environments requires respectful conduct.

• Engage in conduct that reasonably interferes with another participant’s ability to use the program.

We may remove content, suspend participation, or remove a participant from a community when reasonably necessary to protect participants or maintain the integrity of the program.

Group programs require participants to interact with one another.

Beside The Influence expects participants to respect the privacy of others.

You agree not to publicly disclose personally identifiable information, private stories, statements, experiences, screenshots, recordings, photographs, or other confidential information shared by another participant in a private Beside The Influence program or community without that participant’s permission.

However, Beside The Influence cannot guarantee that every participant will comply with confidentiality expectations.

Accordingly, you should use reasonable discretion when deciding what personal information to disclose in any group setting.

You agree that you will not use or attempt to use the Website or our services for any unlawful, abusive, fraudulent, or unauthorized purpose.

You may not:

• Attempt to hack, disable, damage, disrupt, or interfere with the Website;

Purchasing a program does not transfer ownership of the intellectual property contained within that program.

Beside The Influence may record certain coaching calls, training sessions, meetings, webinars, or events for program delivery, training, quality assurance, educational, or business purposes.

When a session is recorded, we may notify participants as appropriate.

By knowingly participating in a session after receiving notice that it is being recorded, you consent to the recording to the extent permitted by applicable law.

Private information contained in recordings will be handled in accordance with our Privacy Policy.

Participants may not independently record Beside The Influence calls, sessions, or programs without prior authorization.

We welcome feedback, reviews, testimonials, suggestions, photographs, comments, and other materials you voluntarily provide to us.

If we wish to use identifiable personal testimonials, photographs, videos, or transformation stories for marketing or promotional purposes, we may obtain permission where required.

You represent that any material you voluntarily submit:

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BESIDE THE INFLUENCE AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, COACHES, FACILITATORS, REPRESENTATIVES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, PROGRAMS, PRODUCTS, OR SERVICES.

THIS MAY INCLUDE, WHERE PERMITTED BY LAW:

• LOST PROFITS;
• LOST BUSINESS OPPORTUNITIES;
• LOSS OF DATA;

Termination of access does not eliminate payment obligations or other obligations that expressly survive termination under an applicable enrollment agreement.

Provisions concerning intellectual property, confidentiality, disclaimers, liability, dispute resolution, and other provisions that by their nature should survive termination will remain effective.

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

Beside The Influence may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, reorganization, or other business transaction, subject to applicable law.

Failure by Beside The Influence to enforce any provision of these Terms does not waive our right to enforce that provision later.

A waiver relating to one event does not constitute a waiver of future events or other provisions.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law.

Any unenforceable portion will be severed or modified as necessary without affecting the validity of the remaining Terms.

We may update these Terms from time to time.

When changes are made, the updated version will be posted on the Website and the “Last Updated” date will be revised.

Material changes may be communicated through additional notice where required by law.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Terms applicable to an existing paid program may also be governed by the agreement in effect when you purchased that program.

These Terms and disputes arising out of or relating to the Website, Beside The Influence, or these Terms shall be governed by applicable law, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.

Nothing in this provision eliminates rights or protections that cannot legally be waived.

Before initiating formal legal proceedings, you and Beside The Influence agree to make a reasonable good-faith effort to resolve the dispute directly.

A party initiating a dispute should provide written notice describing:

• The nature of the dispute;
• The relevant facts;
• The relief being requested.

If the dispute cannot be resolved informally and legal proceedings are initiated, then, subject to any rights or remedies that cannot legally be waived, any lawsuit, action, or proceeding arising out of or relating to these Terms, the Website, or Beside The Influence’s products or services shall be brought exclusively in an appropriate state or federal court located in or serving Raleigh, North Carolina.

You and Beside The Influence consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from seeking emergency or temporary injunctive relief where legally appropriate, including relief intended to protect intellectual property, confidential information, or against unauthorized use of proprietary materials.

Nothing in this section eliminates a consumer protection, privacy, administrative, or other remedy that applicable law does not permit a consumer to waive.

To the extent permitted by applicable law, disputes between you and Beside The Influence will be resolved based on the individual circumstances giving rise to the dispute.

Nothing in this section limits a right that cannot legally be waived.

These Terms, together with:

• Our Privacy Policy;
• Any applicable enrollment agreement;
• Purchase terms;
• Payment authorization;
• Program agreement;
• Community rules;
• Other written policies expressly incorporated into an agreement;

constitute the agreement governing your use of the applicable Beside The Influence Website, program, product, or service.

A program-specific written agreement will control over these general Terms when the agreements address the same issue differently.

Headings are included for convenience and do not limit the meaning of these Terms.

These Terms will not be interpreted against either party solely because one party participated in drafting them.

Words such as “including” mean “including without limitation” unless the context clearly provides otherwise.
